1. Definitions

b)      "Software/Application": Refers to the ‘REPTILE DAILY HISAB’ software, including all associated features, updates, and functionalities, offered by the Company on a subscription basis.

c)      "Subscription": Refers to the periodic access provided to users upon payment of applicable subscription fees.

d)      "User/Customer": Refers to any individual or entity that subscribes to, accesses, or uses the Software.

e)      "Force Majeure": Refers to events or circumstances beyond the reasonable control of the Company, as further defined in Section 6.

f)       "Technical Issues": Refers to software-related malfunctions, errors, or downtime that may impair the user’s access to or functionality of the Software.

g)      "Data Loss": Refers to the loss, corruption, or unavailability of user data due to technical errors, user actions, or unforeseen circumstances.

2. Terms and Conditions

2.1. General Use

(i)     The Software is provided on a subscription basis for individual use only. Sharing login credentials or unauthorized use is prohibited.

(ii)  The Company reserves the right to modify, suspend, or discontinue the Software, its features, or any part thereof, at any time without prior notice.

(iii)                        Users must ensure that their devices meet the Software’s technical requirements.

2.2. Payments

(i)     Users must ensure timely subscription payments to avoid disruption of services.

(ii)  Failure to make payments on time may result in the suspension or termination of access to the Software.

2.3. Technical Issues

(i)     The Company endeavors to provide uninterrupted access to the Software but does not guarantee error-free or uninterrupted service.

(ii)  Users may encounter temporary service disruptions due to maintenance, updates, or unforeseen issues.

(iii)                        Users are encouraged to report technical issues to the Company’s support team. The Company will attempt to resolve such issues promptly but shall not be liable for delays or disruptions caused by Technical Issues or Force Majeure events.

2.4. Governing Law and Jurisdiction

(i)     This agreement shall be governed by and construed in accordance with the laws of India.

(ii)  Any disputes arising out of or in connection with these terms and policies shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

3.       Privacy Policy

This Privacy Policy outlines how Carecone Technologies Private Limited ("Company") collects, uses, maintains, and protects information obtained from users ("Users") of the ‘REPTILE DAILY HISAB’ software ("Software"). By using the Software, Users consent to the practices described in this policy.

This Privacy Policy applies to all features, services, and functionalities offered by the Software. It governs the collection, use, and disclosure of personal and non-personal information from Users.

3.2       Compliance

3.5       User Rights:

(a)     Users have the right to access the personal data shared with the Company, correct inaccuracies, and withdraw consent where applicable.

3.6       Data Retention:

Personal data is retained only for as long as necessary to fulfill its intended purpose or comply with legal requirements.

User accounts and associated data will be deleted upon request or after 30 days of subscription expiration unless otherwise required by law.

3.7.              Disclosure of Data:

The Company may disclose personal data to government authorities or legal entities when required under applicable laws or judicial orders.

3.8    Data Loss and Security

a)      While the Company employs industry-standard measures to protect user data, it cannot guarantee against data breaches or loss caused by Force Majeure events, Technical Issues, or user negligence. Users agree that the Company shall not be liable for any loss, corruption, or unavailability of data caused by:

b)      The Company will make reasonable efforts to restore lost data but does not guarantee recovery.

3.9     User Responsibility

Users are responsible for maintaining the confidentiality of their login credentials and ensuring secure use of the Software. The Company shall not be liable for unauthorized access caused by user negligence.

4. Cancellation Policy

4.1 General Cancellation Terms

        i)            Users may cancel their subscription at any time via their account dashboard. Cancellations will take effect at the end of the current billing cycle.

      ii)            No refunds will be provided for unused periods within an active subscription term.

4.2  Force Majeure/Technical Issues and Cancellation

        i)            Subscriptions cannot be cancelled solely due to temporary disruptions caused by Force Majeure events.

      ii)            If a technical issue prevents access to the software, the Company will make reasonable efforts to resolve the issue. No refund or compensation shall be provided for temporary service disruptions.

    iii)            If a Force Majeure event renders the Software unavailable for more than 90 consecutive days, users may request cancellation of their subscription. In such cases, prorated refunds for unused future subscription periods may be considered.

 

5. Shipping Policy:

(i)     Delivery of Software:

o    As the Software is digital and delivered electronically, no physical shipping is involved.

o    Users will receive their login credentials or activation link via email upon payment confirmation.

(ii)  Delivery Timelines:

o    Activation details are typically sent within a few minutes of successful payment. In rare cases, it may take up to 24 hours due to technical issues.

6. Refund Policy

 

6.1  Eligibility for Refunds : Refund will be considered only in cases where the software fails to function as advertised due to issues attributable to the Company. Users must submit a refund request within seven (7) days of the issue occurring, along with evidence of the issue. After being satisfied, the company shall make Prorated Refund.

 

6.2. Refund Timelines: Refunds will be processed within 7-10 business days after approval.

 

6.3 Non-Refundable Cases : Refunds will not be provided in cases of:

·           User dissatisfaction due to preference changes.

·           Non-usage of the software during the subscription period.

·           Technical issues that the Company has resolved or is actively resolving.

6.4  Refunds in Force Majeure Events : No refunds will be issued for interruptions caused by Force Majeure events unless the Software remains completely inaccessible for 30 consecutive days. In such cases, the Company may, at its sole discretion: Provide a prorated refund or Offer an extension of the subscription period.

 

6.5  Data Loss and Refunds

The Company is not liable for any refund due to data loss caused by factors beyond its control, including user negligence, system failure, or force majeure events.

6.6  Payment Disputes

Users agree to contact the Company before initiating a payment dispute. The Company will attempt to resolve issues amicably.

7. FORCE MAJEURE

"Force Majeure" refers to any event or circumstance beyond the reasonable control of the Company that prevents, hinders, or delays the performance of its obligations under these Terms and Policies. Such events include, but are not limited to:

  1. Acts of Nature: Natural disasters, earthquakes, floods, storms, fires, or other environmental catastrophes.
  2. Governmental Actions: Changes in law, regulations, government directives, orders, embargoes, trade restrictions, or other government-imposed limitations or actions.
  3. Cybersecurity Events: Cyber-attacks, hacking incidents, malware or virus outbreaks, ransomware attacks, data breaches, unauthorized access, or any other digital security compromise.
  4. Network and Infrastructure Failures: Internet or telecommunication outages, power grid failures, server downtime, or third-party hosting provider failures.
  5. Third-Party Service Disruptions: Disruptions or delays caused by third-party service providers, including payment gateways, cloud service providers, and API integrations.
  6. Technical Failures: Unforeseen software bugs, system crashes, database corruption, or hardware malfunctions despite regular maintenance and updates.
  7. Pandemics and Public Health Crises: Widespread disease outbreaks, quarantines, lockdowns, or any health emergency impacting operations or workforce.
  8. Labor Disputes: Strikes, lockouts, or labor shortages affecting the Company or its vendors and contractors.
  9. Force Majeure Impact on Partners: Any Force Majeure event impacting third-party suppliers, partners, or subcontractors that affects the Company’s ability to provide services.
  10. Acts of War or Terrorism: War (declared or undeclared), armed conflict, acts of terrorism, riots, civil unrest, or sabotage.
